Terms of Service

By accessing or using Circle Ledger (the "Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users including organisation administrators, chapter directors, and members.

Circle Ledger is a cloud-based platform for managing business networking clubs, kitty groups, meetings, memberships, and financial workflows. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice.

• You must provide accurate, complete, and current registration information.
• You are responsible for maintaining the confidentiality of your credentials.
• You must be at least 18 years old to create an account.
• One person or legal entity may not maintain more than one free account.
• You are responsible for all activity that occurs under your account.

You agree not to:

• Use the Service for any unlawful purpose or in violation of applicable regulations.
• Upload or transmit viruses, malware, or any malicious code.
• Attempt to gain unauthorised access to any part of the Service or other users' accounts.
• Scrape, crawl, or use automated tools to extract data without written permission.
• Impersonate any person or entity, or misrepresent your affiliation.
• Use the Service to send unsolicited communications (spam).

Circle Ledger offers a free trial period of 3 months for new organisations. After the trial, continued use requires a paid subscription. Fees are billed in advance on a monthly or annual basis and are non-refundable except as required by law. We may update pricing with 30 days' notice.

You retain full ownership of all data you input into Circle Ledger. We do not claim any intellectual property rights over your content. You grant us a limited licence to store and process your data solely to provide the Service. On termination, you may export your data within 30 days; after that period we may delete it.

Circle Ledger and its original content, features, and functionality are owned by us and are protected by Indian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free of viruses. To the fullest extent permitted by law, we disclaim all implied warranties.

To the maximum extent permitted by applicable law, Circle Ledger shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from your use of the Service shall not exceed the fees you paid us in the 12 months preceding the claim.

Either party may terminate the agreement at any time. We may suspend or terminate your access immediately if you breach these Terms. On termination, your right to use the Service will cease, and we may delete your data in accordance with our data retention policy.

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Gujarat, India.

We may revise these Terms at any time. We will notify you of material changes at least 14 days in advance via email or in-app notice. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
